Meeting Minutes (May 8, 2024)

Meeting was called to order at 7:00pm at the Silver Sands Improvement Association Clubhouse. Quorum was established.

Officers Present:
Alyssa Jones, President; Kelly Fleischer, Treasurer; Shelly Campbell, Recording Secretary; Dan Bennett, Sergeant of Arms

Board of Directors Present:
Kim Gardner, Teresa Heiserman, Adam Graybeal

Total in present: 31

Introductions of all community members present

Emergency meeting was called after the April 2024 meeting lacked quorum to establish a new board and key roles
Quorum issues: Have been unable to establish a quorum for the last few years. Quorum is 50% of board members (12) or 10 community members
Board size: By-laws call for 12 board members, but allows that to be reduced to 6 with a vote – this was proposed at the April meeting
Board roles: Discussed the Board roles. All are open to be filled
- Positions that should be filled: President, 2 Secretary’s, Treasurer & 2 Board of Directors
- Must attend 5 meetings the preceding year to be on the board
- Motion brought to drop the number of required attended meetings to 1 for this cycle/year only
Alternative options: Other options are to bring in an outside company to run the Association or to sell the 3 community properties.
- 3 Community properties: Association lot with clubhouse, beach area with boat ramp, South Shore lot
Meeting frequency: Suggest less meetings – drop from 5 to 4
Newsletter: Re-establish newsletter to keep community informed. Suggestion made to email the newsletter for those who do not have Facebook
Community involvement: Community members do not need to be on the board to have an idea and contribute to the community

SSIA dues are $45 a year, $35 if over 60
- This year (2024), 19 members have paid dues
- Last year (2023), 37 members paid dues
- Previous year (2022), 53 members paid dues
215 Houses in the community
Motion brought and accepted to vote to drop the number of board members to 6
Motion brought to pay for the sign at the community/lot
- Sign is $207
- Motion voted and accepted
- Half of $103 due
Volunteers needed to put up sign and little library
Regular meetings are the last Wednesday of the month at 7pm. Next meeting will be in 2 weeks

Suggestion to have a hybrid meeting for community members who are unable to attend in person
- Rob will look into internet, Zoom, and holding a hybrid meeting
