ARTICLE 1 – MEMBERSHIP
Section 1 SILVER SANDS IMPROVEMENT ASSOCIATION BY-LAWS March 22, 2015
All property owners of Silver Sands, and adult members of their immediate families, excluding any commercial/business entities, shall be eligible for membership in the Association, with voting privileges as set forth in Article 3, Section 1.
Section 2
All members of the Association in good standing at the time of adoption of these by-laws shall be recognized as Members of the Association.
Section 3
Application for membership to the Association may be submitted in writing to the Corresponding Secretary.
Section 4
Resignations shall be submitted in writing to the Corresponding Secretary.
ARTICLE 2 – DUES
Section 1
Dues shall be $35.00 per year ($25 for senior citizens 65 years of age or older) payable on or before April 1. Dues shall not be pro-rated under any circumstance.
Section 2
Members in arrears shall be notified in writing by the Corresponding Secretary within three months after the date dues become delinquent. If such arrearages are not paid three months after date dues become delinquent, their name shall be stricken from the records.
Section 3
Any member expelled for nonpayment of dues, or any other monetary obligation, who wishes to be reinstated, shall first pay all obligations due the Association. Any member expelled for justifiable cause (misconduct, not acting for the good of the Association, or not abiding by the By-Laws of the Association) shall not be reinstated without the approval of the Board of Directors.
ARTICLE 3 – VOTING
Section 1
Voting privileges shall be apportioned in the following manner. Each property/lot owner shall have two votes; when a property/lot is owned by more than one person, only two votes shall be allotted to this property/lot; if one person owns more than one property/lot, the owner shall be entitled to only two votes; if more than one property/lot is owned jointly by more than one owner, two votes shall be allowed for each property/lot. For no reason shall more than two votes be allowed each property/lot irrespective of the number of persons sharing ownership of the same property/lot. Husband and wife may each cast one vote if the property/lot is titled in joint names. In the absence of either husband or wife, the attending person may cast two votes by either calling out two in a roll call vote or by raising two hands in a “show of hands vote.” Any property/lot that is held by a widow, widower, single or divorced person shall also be allowed two votes for the property/lot or properties/lots. It is the intent of the Association to keep all property voting in an equal manner. Voting privileges subject to Article 1 Section 1.
Section 2
Matters of a general nature shall be decided by a standing vote of eligible voters, with the provision that any member may challenge a voter or request a roll call vote.
Section 3
Voting for election of Officers, assessments, and amendments or alterations to the by-laws shall be decided by a roll call vote of eligible voters.
Section 4
A majority vote shall rule unless otherwise specified.
ARTICLE 4 – DUTIES OF OFFICERS
Section 1 (President)
It shall be the duty of the President to preside over all meetings of the Association; to preserve order, and exercise supervision over its affairs generally. The President shall appoint such committees as may, from time to time, be necessary for carrying out the work of the Association. The President shall sign or initial all checks, and expenditures jointly with the Treasurer, or other papers requiring his official signature. The President shall be directly responsible at all times to the Board of Directors only, for the conduct and affairs of the Association.
Section 2 (Vice President)
It shall be the duty of the Vice President to assist the President in the discharge of his duties, and to occupy the chair in the President’s absence. The Vice-President shall be authorized to sign or initial all checks and expenditures jointly with the Treasurer, only in the absence of the President.
Section 3 (Treasurer)
It shall be the duty of the Treasurer to receive all monies from the Corresponding Secretary and any committees appointed to raise funds, and to maintain receipts for the same; to pay all bills, from Treasury funds as authorized by the Association, and to make proper entries of expenditures; to keep a permanent and accurate record of all such receipts and expenditures, to present a detailed report of the financial status of the Association at each Association meeting. The Treasurer shall sign or initial all checks and expenditures jointly with the President, or other officer with the authority to sign checks. In the absence of the treasurer at any general membership meeting, the treasurer’s report will be given to an officer so that the report can be read by the recording secretary. All books of the Treasurer shall be submitted for audit one month prior to the Regular Annual Meeting to a special committee appointed by the President (or as otherwise ordered by the board of directors), who shall make a report of the findings at the Regular Annual Meeting. It shall be the duty of the Treasurer to aid the Examining committee with the audit of the account books of the Association. Any Association funds shall not be disbursed for any cause or purpose, without being authorized by a majority vote of the membership present at any regular or special meeting. (Except as allowed in Miscellaneous-Section 3).
Section 4 (Recording Secretary)
It shall be the duty of the Recording Secretary to keep a permanent and minute record of all meetings. It shall be the duty of the recording secretary to record the total attendance at each meeting by sign-in sheet and include them with the minutes of that meeting. It shall be the Recording Secretary’s duty to notify applicants for membership of their acceptance or rejection. The Recording Secretary shall receive a true copy from the Corresponding Secretary of the dues received at each meeting; keep all reports of the committees, and also all other documents given by the President for safe keeping. It shall also be the duty of the Recording Secretary to aid the Examining Committee with the audit of the account books of the Association.
Section 5 (Corresponding Secretary)
It shall be the duty of the Corresponding Secretary to receive all monies for dues and to keep a permanent record of the dues accounts of all members; to furnish a true copy of dues received to the Recording Secretary; to notify members who become delinquent in dues, or who become suspended or expelled from the Association in writing; to conduct the correspondence of the Association (not otherwise specified), and to maintain a complete file thereof at all times. It shall be the duty of the Corresponding Secretary to aid the Examining Committee with the audit of the account books of the Association.
Section 6 (Sergeant-At-Arms)
It shall be the duty of the Sergeant-At-Arms, or his assistant, in the absence of the former, not to admit anyone except members of the Association to any of the meetings. Additionally, the Sergeant-At-Arms shall be at the service and call of the President during the meeting and attend to The President’s orders only. It shall also be the Sergeant-At-Arm’s duty to preserve order and peace while the meeting is going on.
ARTICLE 5 – MEETINGS
Section 1
There shall be a minimum of 4 regular meetings of the Association per fiscal year. Notification of meetings will be done by flyer to all members. Board of Directors meetings are to be arranged by e-mail at an agreeable time and date.
Section 2
A minimum of fifteen members present shall constitute a quorum for the transaction of business at a general meeting, provided at least two of those members are officers. When a quorum required to transact business at a general membership meeting cannot be achieved, a second meeting shall be scheduled. All Association members shall be notified of this special meeting as well as the intended business to be transacted by means of a flyer. The attendance achieved at the second meeting shall constitute a quorum for the purposes of transacting the advertised Association business at that meeting only.
Section 3
Special meetings may be called by the President for matters requiring immediate action or special attention. Notification of these meetings shall be sent in writing to all members in good standing at least one week in advance of the meeting date.
Section 4
Nomination and election of Officers for the ensuing year shall take place in April at the general membership meeting. The meeting is to be conducted by a committee, appointed by the President, whose duty it shall be to preside over the election and keep account of the votes cast. There must be a decided majority of votes for the election of any of the Officers.
Section 5
The discussion of religious or political matters during any meeting of the Association shall be prohibited.
Section 6
Roberts Rules of Order on Parliamentary Procedure shall be the accepted manual for governing questions of order.
Section 7
The rules for governing any meeting shall be as follows:
A. Reading the list of Officers and noting the absentees.
B. Reading the minutes of the last meeting and acceptance thereof.
C. Treasurer’s report
D. Report of the Board of Directors, in writing
E. Proposing new members
F. Admission of new members
G. Report of the committees
H. Correspondence
I. Unfinished business
J. New business
K. Nomination of officers
L. Election of officers
M. For the good of the Association
N. Payment of dues
O. Adjournment
MISCELLANEOUS
Section 1
The use of the Association Hall is permissible by any member in good standing for the current rate per the rental contract (up to 10 hours). For non-members, the cost of the rental is the current non-member rate per the rental contract (up to 10 hours). A security deposit of the current rate per the rental contract is required. The deposit will be returned in full if all conditions of the hall rental contract have been adhered to, and inspection of the hall by the hall chairperson has been completed.
Section 2
The Board of Directors may authorize expenditures of up to $300.00 per month as needed for community maintenance and expenses without the approval of the general membership.
Section 3
The fiscal year of the Association shall run from May 1st to April 30th.
Section 4
Keys to the cable across the entrance of the boat ramp are available for a fee to property owners of Silver Sands Community only, excluding any commercial/business entity. The key fees are to be used to maintain the boat ramp and its property. The keys are not transferable. Abuse of the community property or lending the key to others will result in a forfeit of the key. Restitution for rekeying the lock and new keys if deemed necessary, restitution for the destruction of property if any, and possibly a penalty to be determined by the Board of Directors.
AMENDMENTS OR ALTERATIONS
Section 1
Any amendment or alteration to the Constitution or By-Laws must be submitted in writing to the Board of Directors, signed by two or more members, and shall lay on the table for a period of two general membership meetings from the meeting it is presented. When the amendment or alteration is found feasible by the Board of Directors, the entire membership shall be notified in writing, and then, two-thirds of the valid votes (participating) concurring, the amendment or alteration shall be adopted. These By-laws were voted on, passed and were accepted on March 22, 2015.
ANNE ARUNDEL COUNTY MARYLAND CONSTITUTION OF SILVER SANDS IMPROVEMENT ASSOCIATION MARCH 16, 2005
ARTICLE I – NAME
The name of this organization shall be Silver Sands Improvement Association of Anne Arundel County, Maryland. Silver Sands is to be recognized as that area designated on Plaque No. _ surveyed by J. R. Mccrane, Jr. dated May 1949.
ARTICLE II – PURPOSE
It shall be the purpose of this Association to promote, and act for the improvement of the area known as Silver Sands, and the general welfare of the community, and instill good fellowship among its members. To raise funds in a legal manner, to be dedicated to these purposes, and to defray expenses of the Association.
ARTICLE III – OFFICERS
SECTION A
The officers of the Association shall consist of a President, Vice President, Treasurer, Recording Secretary, Corresponding Secretary, and a Sergeant-At-Arms, along with a Board of Directors of seven (7).
SECTION B
The Board of Directors of this Association shall consist of seven (7) duly elected members and all officers of the Association, who shall elect their own chairman. The Board of Directors shall meet at least once each month and seven (7) members present shall constitute a quorum.
SECTION C
In the event of any vacancy of the aforementioned officers by reason of death or any other cause of the Officer or Director, it shall be at the discretion of the Board of Directors, with a majority vote by the membership at the next general membership meeting to appoint or not appoint a member to fill the vacancy. In any event, there shall never be less than two (2) officers and five (5) directors directing the Association.
SECTION D
Any candidate for officer or director of the Association shall have attended five (5) general meetings during the preceding year or have the approval of the Board of Directors, and with a majority vote by the membership at the next membership meeting (as would be the case for a new member).
ARTICLE IV – TERM OF OFFICE
All officers shall be elected for a period of one (1) year.
ARTICLE V – LIQUIDATION OF ASSETS
In the event this Association shall dissolve, the physical and monetary assets remaining after satisfying any outstanding obligations, shall be equally divided among each and every member in good standing at the time of such dissolution.
